Welcome to Papyruscript Private Limited ("Papyruscript," "we," "us," or "our"). These Terms and Conditions govern your use of our services. By accessing or using our services, you agree to be bound by these Terms and Conditions.
1. Definitions
Services: Refers collectively to the services provided by Papyruscript, including but not limited to writing, data analysis, research guidance, language editing, copyediting, substantive editing, proofreading, formatting, publication support, and related services.
Client: Refers to any individual, entity, or organization utilizing Papyruscript’s services.
2. Scope of Services
Papyruscript Private Limited provides writing, research guidance, and related services aimed at preparing high quality written content for Client and in the overall research journey of the Client. Services may include writing, data analysis, research guidance, language editing, copyediting, substantive editing, proofreading, formatting, publication support, and other services as agreed upon with the Client.
3. Client Responsibilities
The Client is responsible for providing accurate and complete information and materials necessary for the provision of services. The Client retains full responsibility for the content, accuracy, and legality of any materials submitted for editing.
4. Service Delivery
Papyruscript Private Limited will make reasonable efforts to deliver final written materials within agreed-upon timelines. However, we do not guarantee specific delivery times. Delivery timelines may vary depending on the scope of work, complexity, and availability of resources.
5. Quality Assurance
Papyruscript Private Limited strives to deliver high-quality services. However, the final interpretation and judgement of the content remain with the Client. To assert that the content is of inadequate quality, the Client must furnish sufficient and precise comments. The Client may request revisions within a reasonable period after delivery, provided that the request aligns with the original scope of services.
6. Fees and Payment
Fees and Invoicing
We will issue you a valid tax invoice in respect of each service. Except as specified herein or in the order form (i) fees are based on the services requested / purchased and not actual usage, (ii) payment obligations are non-cancellable, and fees are non-refundable. Payment shall be made: (a) in full without set-off, counterclaim or withholding of any kind (save where and to the extent that this cannot by law be excluded); and (b) in the currency mentioned in the order confirmation. We will reissue any invoice if any error is later discovered. If you have overpaid as a result of a billing error, your account will be credited with the overpayment or, if you have stopped acquiring the service from us, we will refund the overpayment promptly after your request and after deduction of any other amounts due by you to us. Billing Dispute: You may dispute an amount invoiced by us but only if you do so in accordance with this clause: Except to the extent you raise a valid billing dispute in respect of our invoice, you agree that the invoice is valid and payable (and you must pay any undisputed amount included in the invoice in accordance with this clause 'Fees and Invoicing' To raise a valid billing dispute, you must (i) make a good faith request to us to investigate the specific charges or invoice, providing at the same time specific evidence which demonstrates that a particular charge or invoice is incorrect; and (ii) make any such request to us within 1 month of the date of the relevant invoice. On receiving a good faith dispute request from you, we will conduct investigations which are reasonably necessary and appropriate in the circumstances of the dispute. At the end of these investigations, you will pay any outstanding amount within five (5) business days.
7. Confidentiality
Papyruscript respects the confidentiality of Client information and materials. We do not disclose or share Client information without prior consent, except as required by law.
8. Limitation of Liability
Papyruscript’s liability is limited to the fees paid by the Client for the specific services rendered. We are not liable for any indirect, incidental, or consequential damages arising from the use of our services.
9. Termination
Either party may terminate the engagement upon written notice to the other party. Upon termination, the Client shall pay for services rendered up to the termination date.
10. Governing Law/Dispute Resolution & Severability
If any dispute arises between you and us in connection with your usage of our Site or any of our services, the parties shall attempt to resolve it amicably, failing which will be referred to arbitration. The place of arbitration shall be Bhubaneswar, Odisha, India. The arbitration proceedings shall be in English language. These terms and conditions are governed by and shall be construed in accordance with the laws of India and shall be subject to the exclusive jurisdiction of the courts in Bhubaneswar, Odisha, India. If any provision of these terms and conditions is held by a court to be illegal, invalid, or unenforceable, such provision shall, as to such jurisdiction only, be deemed severable and ineffective to the extent of such invalidity or unenforceability and the remaining provisions shall remain in full force and effect.
11. Amendments
Papyruscript reserves the right to amend these Terms and Conditions at any time. Amendments will be effective upon posting on our website. Continued use of our services after amendments constitutes acceptance of the revised Terms and Conditions.
